TERMS OF AGREEMENT

PANIC NETWORKS ("PN," "we," "our" or "us"), provides the Panic Television World Wide Web Site (the "Site," located at http://panictelevision.com), together with the advertising and content on the Site and any related services (collectively, the "Services"), subject to your compliance with the terms and conditions set forth in this agreement ("Agreement"). By using the Site or the Services, you agree to be bound by these terms and conditions, our Privacy Policy, and any other agreement you are required to enter into with PN in conjunction with your participation in the Site. If you do not agree to these terms and conditions, please do not use the Site or the Services. This Agreement is made between PN and you, as a registered member or visitor ("you"). The words "you" or "your" shall also mean heirs, executors, administrators, successors and legal representatives. We reserve the right at any time to change the Site or the Services, including eliminating or discontinuing any content on or feature of any Site or change the terms of this Agreement. Any changes we make will be effective immediately on notice, which we may give by posting the revised Agreement on the Site. Your use of the Services after such notice will be deemed acceptance of such changes.

While using the Site and/or Services, you agree to comply with all applicable laws, rules and regulations. We expressly reserve the right to remove any materials from the Site at any time for any reason without notice. You acknowledge and agree that we have the right to monitor the Site and the materials you transmit, from time to time, and to disclose any information (including your personally identifiable information) to any third party in order to operate the Site properly; to protect PN, the Site, the Services, our sponsors, partners, affiliates, and our members and visitors; and to comply with any legal obligations, regulations, or governmental requests.

SUBMISSIONS PERMISSION RELEASE

Any material that you transmit to us or post anywhere on the Site or through the Services, may be used by PANIC NETWORKS throughout the world in perpetuity for any purpose whatsoever, including, but not limited to, reproduction, disclosure, transmission, publication, broadcast and posting and may be modified to enable or complement any such use.

I herby grant permission for PANIC NETWORKS, to include my presentations and comments, in any and all forms, in the above-named event and/or publication. I further grant permission for PANIC NETWORKS to transcribe and reproduce this submission as part of the PANIC NETWORKS video stream in complete or partial form, on CD-ROM, videocassette, broadcast, webcast, cablecast, laserdisc, multimedia and any other media format now or hereafter known.

I understand that work submissions will be considered by PANIC NETWORKS. If your submission is accepted it will be stored and served on PANIC NETWORKS approved Web servers for freely available viewing by the general public in selected venues.

By agreeing to these terms, I grant permission for PANIC NETWORKS and any other person or entity authorized by PANIC NETWORKS to make copies in any form or media of this submission, including digitized copies or written transcriptions. I further grant permission for PANIC NETWORKS and any person or entity authorized by it (i) to edit or alter the Recording (any such edited or altered Recording is referred to in this Consent and Release as an “Altered Recording”), (ii) to distribute, broadcast, publish and/or transmit all or any portion of the Recording or an Altered Recording via any media including computerized means for the purposes described in paragraph one of this consent and release form, (iii) to incorporate all or any portion of the recording or an Altered Recording in derivative works or compilations in any form or media and (iv) to use my name, likeness and biographical material in connection with any of the foregoing, all to the extent and in such fashion as they deem necessary or desirable to accomplish the purposes described in paragraph one of this Consent and Release form.

I understand and agree that the Recording and/or Altered Recording may be used in PANIC NETWORKS own publications and/or released to the public information media or general public.

I understand that I will receive no compensation for any use of the Recording or an Altered Recording.

I hereby release PANIC NETWORKS, its individual members, and those members' home institutions from any claims or liability regarding any use that may be made of the recording or an Altered Recording in accordance with this Consent and Release.

I accordingly give PANIC NETWORKS the right to use my image, voice, pronouncements, likeness, and my name and any biographical material submitted by me in connection with the Event/Publication named above, whether used in excerpts or in full, for purposes of the reproduction and distribution described above and for any associated advertising or exhibition. In the event that any materials used in my presentation contain the work of other individuals or organizations (including any copyrighted musical compositions or excerpts thereof), I understand that it is my responsibility to secure any necessary permissions and/or licenses* and will provide them in writing to PANIC NETWORKS.
